Privacy Policy and Terms

Effective Date: March 13, 2024

Prime Consulting Group Solutions, LLC (“Prime Consulting” also referred to below as “we,” “us,” “our”, and “ours“) has a strong commitment to privacy and protecting your Personal Information when you interact with us.. By visiting or using our Websites (defined below) and/or Services (defined below), you are accepting the terms and conditions described in this Privacy Policy (“Privacy Policy” or ‘Policy”.

This Privacy Policy is effective as of the date written above. The terms and conditions stated in this Privacy Policy are subject to change. Please make yourself familiar with any changes made to our Privacy Policy by regularly reviewing this page. If we make material changes, we will post the updated Privacy Policy on our Websites with a “Last Updated” effective date of the revisions. If you access or use our Websites or Services after changes are posted, you are presumed to have accepted all changes. If you do not agree to the terms and conditions of this Privacy Policy, please do not access or use our Websites or Services.

Access to and use of our Services is made available to our clients who have entered into a Statement of Work and our Terms and Conditions (collectively, “Client Agreement’). If there is a conflict between this Privacy Policy and the Client Agreement, the Client Agreement will govern.

You are not obligated to provide your Personal Information to us as described in this Policy, however, it is needed so that we can meet our business obligations. Without it, we cannot provide you with our products and services.

Definitions

The following definitions apply throughout this Privacy Policy:

  1. “Websites” means www.primeconsulting.com and all or each of those websites and sub-websites (including landing pages) that are owned, maintained and operated by Prime Consulting and post this Privacy Policy. This excludes any third-party websites that may be referenced or r linked to or linked by our Websites.
  2. “Applications” means all or each of those software, web, cloud, or mobile applications that are owned and maintained by Prime Consulting and are made available as part of the Services. This excludes any third-party applications and products that are not owned by us and not under our control.
  3. “Services” means any business or IT consulting, internet and cloud hosting, and IT solutions and services provided/offered by Prime Consulting to its clients who have executed a services agreement with us. The Services include our Applications, as defined above
  4. “Personal information” means any information that may be used to identify an individual, including, but not limited to, a first and last name, a physical address, an email address, or other contact information including, gender, occupation, personal interests, or other similar information.

Legal Basis

In accordance with applicable data protection laws, we will only process your Personal Information where we have a lawful basis for doing so, such as:

  • Contract Necessity — Where it is necessary to provide the Services to you under the performance of the contract we have with you or your organization that is our client;
  • Legal Necessity — Where we are required to do so in accordance with legal or regulatory obligations;
  • Consent — Where you have given your consent; and,
  • Legitimate Interests – Where it is in our (or a third party’s) legitimate interests to process your Personal Information and these interests do not prejudice your own interests or fundamental rights and freedoms.

Why We Ask You to Provide Your Personal Information

We collect and process your Personal Information for the following reasons including, but not limited to:

  • Purchasing our products, solutions, and services
  • Receiving information about our products, solutions, services, and company events 
  • Storing your preferences for future interactions and communications with us
  • Resolving service issues or questions
  • Helping us to improve our products, solutions, and services
  • Sending personalized messages, special offers, and promotions that are relevant to your personal interests, based on the information you have shared with us.
  • Participating in our events, webinars or other activities we may organize for our clients

Types of Information That We May Collect

Information You Provide Directly to Us.  When you interact directly with us by, for example, visiting our Websites, contacting us or accessing or using our Services, we may ask that you provide certain Personal Information to us, as described below.  In these situations, Prime Consulting may be the data controller of your Personal Information under applicable privacy laws.

When you visit our Websites: We automatically collect certain Personal Information from you when you visit our Sites, such as IP Address, your device’s operating system, your Internet service provider and location (country/region), browser type and language, and website content you access) and information about the date, time and duration of your visit to our Sites.  

When You Request a Free Consultation: If you request a Free Consultation using the link from the Websites, we ask that you provide your name, telephone number and business email so we may contact you to respond to your request.

When You Access and Use the Services: We collect usage data when you interact with the Services. Usage data includes metrics and information regarding your use and interactions with the Services, such as what features you use the most. 

We may engage third party providers to collect usage data and for analytics services. For more information about how we protect your information with these service providers, please see “How We Share Personal Information”.

Note: If you provide Personal Information (regarding yourself or other persons) to us when using the Services, for example by uploading Personal Information onto Smartsheet, we are most likely considered a data processor (or sub-processor) under applicable data privacy laws and our client would be the data controller (or data processor). Also, our processing of such Personal Information may be subject to the relevant Client Agreement and not this Privacy Policy.

Newsletter:  We may offer to you to sign up to receive a newsletter or other communications via email. To subscribe we may ask you to provide your name and your email address.

Events or Webinars.  We may organize from time-to-time in-person events or webinars for our clients and others.  If you choose to participate, you will be asked to provide certain Personal Information to register and attend.

Offline: If you contact us offline, such as by telephone, we may ask you to provide your name, telephone number, business email and affiliation.  Information Collected from Other Sources

We may obtain information about you from other sources, including social networks that you use to connect with us. If you use a third-party service to login, link to us, or communicate with us (such as a social network or third-party video chat), we may receive certain information about you from the third party based on your registration and privacy settings on those third-party services. This information may include your name, username, demographic information, updated address or contact information, interests, and publicly observed data, such as from social media and online activity.  If you provide Personal Information to these third parties, including social networks, these organizations’ privacy policies apply to your Personal Information and not this Privacy Policy.

How We Use Personal Information

To Provide the Services

We use your Personal Information to give you access to and provide our Services to you. 

To Communicate with You About the Services

We use your Personal Information to send you transactional emails about billing, account management, and other administrative matters. We may also send you updates regarding Client Agreement or other legal agreements and may also communicate with you about security incidents via email. You may also be able to sign up to receive our newsletters or attend an event or webinar that we sponsor.

In addition, we use your information to provide customer support, such as resolving technical issues you encounter and analyzing product outages or bugs. 

To Improve the Services

We collect usage data about how you interact with the Services. We use this data to develop and improve our Services.  For example, we use usage data to assess trends and usage to help us determine what new features or integrations our users may be interested in. 

We may publish data about how our Services are being used across our customer base. When we share statistical information externally in this way, the data will be aggregated, and we will not identify individual users or clients. For example, we may publish blog posts on trends or insights into how users are interacting with Services. 

To Protect the Services and Users

We may use your Personal Information to investigate and help prevent security incidents. We may also use this information to meet legal requirements. We use your information to verify users, their usage and to detect and prevent abuse. This includes enforcing our Acceptable Use Policy.  

To Market and Promote the Services and Events and Webinars

We may use your Personal Information to market and promote the Services and other offerings to you, such as events, webinars or other activities that we may offer. For example, we may send you communications about enhancements to the Services or other new products or services which we think may be of interest to you by post, email, or other means. 

We will not use your Personal Information for purposes other than the purposes for which it was originally collected or disclosed to a third parties not described in this Policy without providing you with prior notice and an opportunity to consent to the change(s). 

How We Share Personal Information

Service Providers 

We may share Personal Information with our third-party service providers to support our Websites and Services. For example, we use service providers for data hosting, application development, marketing, sales support and customer support. These service providers are prohibited from using your Personal Information except for these purposes, and they are required to maintain the confidentiality and security of your information. In all cases where we share your information in this way, we explicitly require the third-party service providers to acknowledge and adhere to our privacy and data protection policies and standards.

Our current service providers that we work with and their services are listed below and who may have access to Personal Information.  A link to their Privacy Policies is also provided. This list is not exhaustive and may change from time-to-time without notice.

In addition, we may use other companies and individuals to perform functions on our behalf. Examples include sending postal mail and e-mail, removing repetitive information from customer lists, analyzing data, providing marketing assistance, providing search results and links (including paid listings and links), processing credit card payments, and providing customer service. They also may have access to Personal Information needed to perform their functions on our behalf. 

Legally Required Disclosure

We reserve the right to use or disclose your Personal Information if required by law or if we reasonably believe that use or disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or comply with a law, court order, or legal process. 

Corporate Transaction

We may disclose Personal Information if we are involved in a merger, reorganization, dissolution, or other fundamental corporate change, or sell a website or business unit, or if all or a portion of our business, assets or stock are acquired by a third party. In accordance with applicable laws, we will use reasonable efforts to notify you of any transfer of Personal Information to an unaffiliated third party.

How We Secure and Store Personal Information

Data Security 

Prime Consulting takes your privacy very seriously and we take reasonable measures and precautions to protect and secure your Personal Information. We work to protect you and your information from unauthorized access, alteration, disclosure or destruction and have several layers of security measures in place, including secure hosting of our website and securing access to our websites via appropriate security controls and systems. Moreover, our implemented security measures include commercially accepted administrative, technical and physical safeguards. Only those employees and representatives who have a legitimate business need are given access to Personal Information, and these employees and representatives are obligated to maintain the confidentiality and security of Personal Information.

Our Websites and Services are hosted by third party cloud providers in the United States. These service providers implement a variety of industry recognized physical, technical and organizational security measures and procedures to protect your Personal Information from unauthorized access, use or disclosure. We do not store credit card information or billing addresses. 

We cannot guarantee that the messages sent over the Internet, email, or via SMS to be completely secure as they are subject to possible interception or loss or possible alteration. We are not responsible for any message lost, intercepted or altered by third parties and will not be liable to you or anyone else for any damages by or in connection with any message sent by you to us or any message sent by us to you over the Internet or via SMS.

Be advised that there is always a risk inherent when providing information online. We will not accept any responsibility or liability for actions that may result from this data being intercepted or accessed by an unauthorized third party.

Retention of Personal Information

We will retain your Personal Information for as long as is necessary for the purposes set out in this Privacy Policy or as otherwise set out in our Client Agreement. Further, we will retain and use your Personal Information to the extent necessary to comply with our legal obligations (for example, if we are required to retain your information to comply with applicable laws), resolve disputes and enforce our legal agreements and policies. We will retain your marketing contact information until you unsubscribe from our marketing communications. We will also retain the Services’ usage data for internal analysis purposes. Usage data is generally retained for a shorter period of time, except when this data is used to strengthen the security or to improve the functionality of our Services, or we are legally obligated to retain this data for longer periods. 

Cookies and Other Tracking Technologies

A cookie is a piece of data stored on your device’s hard drive that contains information about you and your computer. The cookies used on the Websites do not contain any identification that would be useful to another individual or organization. We use cookies to provide statistical information on site usage and personalize and enhance the online experience. Some of these cookies may be active during the time you are viewing a website (“session cookies”). Other cookies may remain on your device after you have closed your browser or turned off your computer (“persistent cookies”). 

We do not use cookies or sell or share Personal Information for purposes of online targeted advertising, whether on our behalf or by third parties.

The following cookies are deployed on the Websites:

  • Strictly Necessary Cookies: These cookies are strictly necessary to provide the Website. For example, they are used to authenticate and identify returning users.
  • Performance and Functionality Cookies: These cookies provide statistical information on site usage, such as web analytics. They also help us to personalize and enhance your online experience.

Information from cookies allows us to improve the Websites and Services and customize your online experience. You can set your browser to accept all cookies, reject all cookies, or notify you when a cookie is set. See www.allaboutcookies.org to learn how to disable cookies on your browser or otherwise opt out of cookies. if you set your browser to disable all cookies or opt out, some features of the Websites or Services may not function properly. 

You can choose to disable cookies through your individual browser options. To know more detailed information about cookie management with specific web browsers, it can be found at the browsers’ respective websites.  Be advised that we do not use cookies or Personal Information to conduct behavioral advertising.

We also use web beacons and pixels on our Websites and in emails. For example, we may place a pixel in marketing emails that notify us when you click on a link in the email. We use these technologies to operate and improve our Websites and marketing emails.

This Privacy Policy does not cover the use of cookies used by third parties, and we are not responsible for their privacy policies and practices. Please be aware that cookies placed on your device by third parties may continue to track your activities online even after you have left our Websites.

Analytics

We use Google Analytics to track views and general/aggregate data on users who visit our Websites. For more information on how Google uses data when using its partners’ sites or apps, please visit: https://policies.google.com/technologies/partner-sites. To provide our visitors more choice on how their data is collected by Google Analytics, Google has developed an Opt-out Browser add-on to enable you to opt-out of Google’s programs (available at: https://tools.google.com/dlpage/gaoptout).

We also use Zoominfo and WebSights to conduct analytics on our Websites.

In addition, we use log files, which log visitors when they visit websites and is a typical service provided by hosting companies. The information collected by log files include internet protocol (IP) addresses, browser type, Internet Service Provider (ISP), date and time stamp, referring/exit pages, and possibly the number of clicks. These are not linked to any information that is personally identifiable. The purpose of the information is for analyzing trends, administering the site, tracking users’ movement on the website, and gathering demographic information.

Your Privacy Rights and Choices

You have the right to access any Personal Information that Prime Consulting holds or processes about you and you may request information about:

  • What Personal Information we hold
  • The purposes of our processing
  • The categories of Personal Information concerned
  • The categories of recipients to whom the Personal Information has/will be disclosed
  • The time period for which we intend to store your Personal Information
  • The source of the Personal Information, if we did not collect the data directly from you
  • Submit a complaint to us or the relevant data protection authority

Note: We do not “sell” or “share” your Personal Information, as defined in applicable law, to conduct behavioral advertising.

If you believe that we hold any incomplete or inaccurate Personal Information about you, you have the right to ask us to correct and/or complete the information and we will strive to update/correct it as quickly as possible.

You also have the right to request erasure of your Personal Information,  (otherwise called the “your right to be forgotten”) or to restrict our processing of your Personal Information in accordance with applicable data protection laws, as well as to object to any direct marketing from us, and to be informed about and object to any automated decision-making using our Personal Information that we may use.  To exercise any of these rights, contact us via email at: info@primeconsulting.com.

If we receive a request for any of the above rights, we may ask you to verify your identity before acting on the relevant request; this is to ensure that your information is protected and kept secure. However, we will never ask you for “sensitive” or “special categories” of Personal Information (such as government individual identity number like a Social Security Number). Should you ever need support with any online account services, we will never ask you for your individual user account password.

Depending on where you reside, you may be entitled to empower an “authorized agent” to submit requests on your behalf. We will require authorized agents to confirm their identity and authority, in accordance with applicable laws. 

We will respond to your request to change, correct, or delete your data within a reasonable timeframe and notify you of the action we have taken. In some instances, your rights may be limited, such as where fulfilling your request would impair the rights of others, our ability to provide a service you have requested, or our ability to comply with our legal obligations and enforce our legal rights. You are entitled to exercise the rights described above free from discrimination regarding your access to and use of the Websites and Services.

Be advised, however, that applicable law may not permit us to completely or comprehensively delete your Personal Information from our systems or records.  Also, it may not be technologically possible to remove each and every record of the information you have provided to us from our systems or records. The need to back up our systems to protect information from inadvertent loss means that a copy of your Personal Information may exist in a non-erasable form that will be difficult or impossible for us to locate.

To Unsubscribe from Marketing Communications 

You may unsubscribe from our marketing communications through one of the following methods:

  • By clicking on the “Unsubscribe” link located on the bottom of our e-mails;
  • By updating your communication preferences with us; or
  • By emailing us at: info@primeconsulting.com

Note, however, clients cannot opt out of receiving transactional or administrative emails related to their account with us, their use of the Services or payment issues.

Updating Your Information

As a general matter, we encourage you to keep your personal settings and Personal Information provided to us complete and current.  However, you may update your Personal Information and your communications preferences by contacting us via email: info@primeconsulting.com.

California Privacy Rights

California Consumer Privacy Act

The California Consumer Privacy Act of 2018 (CCPA) (as amended by the California Privacy Rights Act of 2020) gives California consumers enhanced rights with respect to their Personal Information that is collected by businesses. However, as of the effective date of this Privacy Policy set forth above, Prime Consulting does not qualify as a “business” or “controller” subject to the CCPA.  Nonetheless, we will otherwise honor privacy rights requests from our users located in California.

Specifically, if you are a California resident, you have the right to:

  • Request a notice identifying the categories of your Personal Information that we share for business purposes and/or with third parties for marketing purposes. (These categories are described above.) 
  • Request to know the specific items and categories of Personal Information we collect, use, sell, share and disclose. (These categories are described above.)
  • Request deletion of your personal information.
  • Opt out of the “sale” or “sharing” of your personal information for “cross-context” behavioral advertising. 

Please note that we do not “sell” or “share” your Personal Information for “cross context” behavioral advertising, as defined in the CCPA and other US state privacy laws.

You may exercise these rights by contacting us via email at: info@primeconsulting.com. We will confirm receipt of your request within 10 business days. We must provide the requested information or delete your Personal Information within 45 days of receipt of your request, but we can use up to an additional 45 days if we let you know that additional time is needed.

Also please be advised that we need to search our records and systems for information only for the preceding 12 months. There may be cases where we do not have any Personal Information about you or we are not able to verify your identity for matching purposes. Deleting your Personal Information may result in your inability to access the Services. 

Other California Notices

The California Online Privacy Protection Act (CalOPPA) requires that online privacy notices disclose how a site responds to “Do Not Track” signals (“DNT”). We currently do not honor DNT signals.

Under California Civil Code sections 1798.83-1798.84 (“Shine The Light”), California residents who have an established business relationship with us are entitled to ask us for a notice describing what categories of Personal Information we share with third parties for their direct marketing purposes. This notice will identify the categories of information shared with and will include a list of the third parties with which it is shared, along with their names and addresses. If you are a California resident and would like a copy of this notice, please submit your request via email to: info@primeconsulting.com. However, as of the effective date of this Policy set forth above, we do not disclosure Personal Information to third parties for their marketing purposes.

For California residents under the age of 18 and registered users of websites, California law (Business and Professionals Code § 22581) provides that you can request the removal of content or information you posted on Website. Any such request should be sent to us at: info@primeconsulting.com along with a description of the posted content or other information to be removed. Be advised, however, that applicable law may not permit us to completely or comprehensively remove your deleted content or for other reasons as set forth in this California law.  

Other State Privacy Rights

Other US State consumer privacy laws may provide their residents with additional rights regarding our use of their Personal Information. 

For example, Colorado, Connecticut, Virginia, and Utah each provide residents with rights to:

  • Confirm whether we process their Personal Information.
  • Access and delete certain Personal Information.
  • Data portability.
  • Opt-out of Personal Information processing for targeted advertising and sales.  

Colorado, Connecticut, and Virginia also provide their state residents with rights to:

  • Correct inaccuracies in their Personal Information, taking into account the information’s nature processing purpose.
  • Opt-out of profiling in furtherance of decisions that produce legal or similarly significant effects.

If you are a resident of Nevada, you also have the right to opt-out of the sale of your Personal Information to third parties.  However, we do not sell your Personal Information.

Other US States may provide similar rights over your Personal Information.

For all verified requests, we will confirm receipt of your request within ten (10) business days. If you do not receive confirmation within the 10-day timeframe, please contact us at: info@primeconsulting.com.

We endeavor to respond to a verifiable consumer request within forty-five (45) days of receipt. If we require more time (up to 90 days), we will inform you of the reason and extension period in writing.

Located in the United States

The Websites and Services are owned and operated by Prime Consulting in the United States and are governed by US law. If you are outside the United States when you visit the Websites, access the Services or engage in communications with us, be aware that your Personal Information may be transferred to, stored, and processed by us and/or our third-party cloud providers in the United States. Any information you provide to us, or that we collect through your use of the Websites or Services, will be stored, processed, and transferred within, or to, the United States. Please be aware that the United States and jurisdictions other than the one in which you are located may not provide the same level of data protection as the location from which you are accessing the Websites or Services. Note also that your Personal Information may be available to the US Government or its agencies under appropriate legal processes in the United States.

Users in the European Economic Area, United Kingdom or Switzerland

For users who located in the European Economic Area (EEA), the United Kingdom (UK) and Switzerland, we advise that your Personal Information will be transferred to and processed in the United States, which has data protection laws that are different than those in your country and may not be as protective. The United States has not sought nor received a finding of “adequacy” from the European Commission, the United Kingdom or Swiss governments. 

Our legal basis for collecting and using your Personal Information is to do so with your consent; where we need the personal information for performance of a contract, or where the collection and use is in our legitimate interests and not overridden by your data protection interests or fundamental rights and freedoms. In some cases, we may also have a legal obligation to collect the Personal Information in question. If we collected your Personal Information with your consent, you may withdraw your consent at any time.

Pursuant to the General Data Protection Regulation (GDPR) in the EEA, the GDPR as enacted in the UK (UK GDPR) or the Federal Act on Data Protection in Switzerland, residents of these countries have the right to:

  • Access your Personal Information;
  • Delete, or request deletion of, your Personal Information;
  • Object to or restrict processing of your Personal Information;
  • Request portability of your Personal Information;
  • Complain to your local supervisory authority at any time;
  • Object to automated decision making; and
  • Update your Personal Information.

Withdrawing your consent will not affect the lawfulness of any processing we conducted prior to your withdrawal, nor will it affect processing of your Personal information conducted in reliance on lawful processing grounds other than consent.

If we ask you to provide Personal Information to us to comply with a legal requirement or enter into a contract, we will inform you of this and let you know whether providing us with your Personal Information is required and if not, the consequences of not sharing your Personal Information with us.

Similarly, if we collect and use your Personal Information in reliance on our or a third party’s legitimate interests and those interests are not already described above, we will let you know what those legitimate interests are.

We endeavor to apply suitable safeguards to protect the privacy and security of your Personal information and to use it only consistent with your relationship with us and the practices described in this Privacy Policy. We also take steps to minimize the risk to your rights and freedoms by not collecting or storing sensitive or special categories of Personal Information about you.

If you are not satisfied with our response, or believe we are processing your Personal Information in violation of the law, you have the right to lodge a complaint with your relevant supervisory authority (also known as Data Protection Authority) or other appropriate governmental authority, as follows:

For Personal Information that you provide directly to us, Prime Consulting is a data controller and is a data processor (or sub-processor) for Personal Information that our clients may provide when using the Services (including on behalf of their clients).

Third Party Websites

The Websites or Services may contain links to several other websites, content or services that are owned or controlled by third parties and not Prime Consulting.  Any such links are not an endorsement, authorization or representation that we are affiliated with that third party.  Prime Consulting is not responsible for the privacy practices of websites other than its own.  You understand that when you click on these links, any data which you provide to the third party is subject to that third-party’s privacy policy and not to ours. We can take no responsibility for the content, safety, privacy or security of any third-party application, service or website.  We encourage you to review and understand the privacy practices of any third-party websites before providing any information to or through them.

No Rights of Third Parties

This Privacy Policy does not create rights enforceable by third parties or require disclosure of any personally identifiable information relating to users of the Websites or Services.

Children

The Websites and Services are not intended for or targeted at children under 18, and we do not knowingly or intentionally collect Personal Information about children under 18. If you believe that we have collected Personal Information about a child under 18, please contact us here, so that we may delete the information from our systems and records.

Acceptable Use

As a condition of your use of the Websites and Services, you represent and warrant that you will not use the Websites or Services for any purposes except for the purposes expressly set forth in this Privacy Policy or Client Agreement.

Without limiting the generality of the foregoing, you are expressly prohibited from doing any of the following:

  • Conduct or promote any illegal activities while using the Websites or the Services including, but not limited to: Attempt to gain access to secured portions of the Websites we make available or the Services to which you do not possess access rights;
  • Upload or transmit any form of virus, worm, Trojan horse, or other malicious code;
  • Use the Websites or Services to generate unsolicited email advertisements or spam;
  • Harvest, collect, gather or assemble information or data regarding other users  or clients without their consent;
  • Use any automatic or manual process to search or harvest information from Websites or the Services, or to interfere in any way with the proper functioning of the Websites or the Services or the data contained therein, including but not limited to, conducting any Distributed Denial-of-Service (DDoS) Attack; or
  • Impersonate another user or client.

Disclaimers

By accessing and/or using our Websites and/or Services, you represent and warrant that you are at least 18 years old and that you have the right, authority and capacity to abide by the terms and conditions of this Privacy Policy.

The use of our Websites and Services are entirely at your own risk. We shall not be liable for any losses or damages, whether direct or indirect, consequential, incidental, special, punitive or other damages whatsoever (including without limitation, damages for loss of business profits, business interruption, loss of data or loss of business information) that you may suffer as a result of your use of our Websites and Services, including but not limited to computer or smartphone services, system failure, access delays or interruption, data non-delivery or mis-delivery, computer viruses or other harmful components, breaches of security or unauthorized use of the system arising from “hacking” or otherwise or your reliance on the information contained in our Websites and Services.
